Thomas Welsh Publishing & RegenesisWorks.Com ("TWP&R"). is based in UK with GB VAT registration number GB648390607 ……. whose registered office is at ……………………………… ·       Regenesis Global Network Lead Business Partner , or Affiliate Coach an individual or organization acting as an affiliate distributor, mentor or coach of Regenesis, located at [RGNL's Location], hereinafter referred to as (" the RGNL.") ·       “Service” means providing access to the proprietary information related to the Cycle of Regenesis, MasterMaps & Source Materials and he delivery of mentoring & coaching to support its use by clients

SCOPE OF WORK

The Engagement shall cover the " supply & distribution of the Cycle of Regenesis, MasterMaps & Source Materials and the supply of mentoring or coaching to support their use as set out in the Proposal, MOU & 2 Way NDA signed by all suppliers & users of Regenesis and the Fulfillment Policy set out on the regenesisworks.com website

FEES AND EXPENSES

The fees are as agreed between the parties. Extra coaching support, if required, will be charged at an hourly rate to be agreed for each project.   Any extra expenses incurred by the coach and or distributor of Regenesis, must be agreed by their organisational or individual client in advance, will be reimbursed in addition to the fee.

INSURANCES

TWP&R and the RGNL shall ensure it maintains adequate Professional Indemnity coverage with reputable insurers.

LIMITATIONS

The Cycle of Regenesis, MasterMaps & Source Materials and the content provided therein verbally and in any other media are neither intended to be nor should it be construed as constituting legal or other professional advice. At all times the Managers, Executives & Directors of the RGNL and their “Clients” using Regenesis content are held as the experts respectively in their own organization. No person should act or refrain from acting on the basis of information delivered in 'any Regenesis Development Program or project. Only members of the clients (receiver/user/distributor of Regenesis) own organization or it's appointed professionals, managers, executives or directors can provide
assurances that any information received by you - and their interpretation or use of it - is applicable or appropriate to your particular situation.
TWP&R's assurance is to provide services (information, coaching or mentoring to enable you to deliver the outcomes you have decided upon.
If you the Client is not satisfied these services been delivered as promised, liability is limited to a partial or full return of fees as agreed between the Parties JURISDICTION The laws of UK shall govern this Service Agreement and any dispute arising out of, or in connection with, it LIMIT OF LIABILITY AND INDEMNITY The maximum aggregate liability of TWP&R, howsoever arising, in connection with this
Service Agreement shall be limited in total of the fees paid hereunder for the particular project in dispute and restricted shall be restricted to failure to deliver service as agreed or offered

CONFIDENTIAL INFORMATION

TWP&R acknowledges that during the course of the Engagement it will have access to Confidential Information, and it shall not use or disclose this to any third party other than if authorized by RGNL or their RGNLOC(s) respectively or required by law. Upon request, TWP&R will destroy, or return to the Client, any Confidential Information in its possession . It is recognized both parties have executed a Non-Disclosure Agreement .

STATUS

The relationship of the TWP&R to RGNL and vice versa will be that of an independent contractor and not an employee, worker or agent of the Client Business Partner and the Regenesis Consulting Company or vice versa and neither shall hold itself out as such.

GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of England and Wales in the UK  

LIMITATION OF LIABILITY The liability of each party under this Agreement shall be limited to the fees paid or part thereof hereunder to any Supplier, Distributor, +/or Mentor +/or Coach of Regenesis and shall be limited to failure to deliver service as agreed or offered

FEES AND PAYMENT Compensation details are outlined in the extant Fee Schedule and Commission Agreement agreed between the two parties at any point in time

Annex 4. The Relationship Between Regenesis & Their Organizational Client:

The TWP&R’s role is outlined in any supply of service proposal agreed by the two parties, or terms of offer accepted at the time of purchase  

FEES AND PAYMENTCompensation details are outlined in the extant Fee Schedule and Commission Agreement agreed between the two parties at any point in time.
